Governance (Pro Chancellor) Rule

Section 1 - Preliminary

Citation

(1) This Rule is made by the Board of Trustees of Western Sydney University pursuant to section 13(1) of the Western Sydney University By-law 2017 for the purposes of the Western Sydney University Act 1997 (NSW).

Commencement

(2) This Rule commences on the day after it is published in accordance with clause 15 of the Western Sydney University By-law 2017.

Purpose

(3) This Rule establishes the office of one or more Pro Chancellors of the Western Sydney University and describes the eligibility requirements and functions of that office.

Definitions

(4) In this Rule:

  1. Act means the Western Sydney University Act 1997 (NSW);
  2. By-Law means the Western Sydney University By-law 2017 (NSW)
  3. Board means the Board of Trustees of the University;
  4. Member means a member of the Board;
  5. University means Western Sydney University established by the Act.

Section 2 - Establishment and Appointment

Establishment

(5) There shall be one or more Pro Chancellors of the University.

Appointment

(6) Subject to clauses (8) to (11), the Board may, by resolution, appoint one or more of its Members to act as Pro Chancellor.

(7) Only Members appointed pursuant to section 12(1)(b), (c) or (h) of the Act, and who do not also hold office as a Deputy Chancellor pursuant to section 14 of the Act, are eligible for appointment as Pro Chancellor.

Term of Appointment

(8) Subject to clauses (9) and (10), a Member holds office as a Pro Chancellor for the term of his or her appointment to the Boardd as specified in that Member's instrument of appointment.

(9) If a Member is appointed as a Pro Chancellor after his or her term of office as a Member has already commenced, then that Member shall hold office as a Pro Chancellor for the balance of his or her term of office as a Member.

(10) A Member appointed as a Pro Chancellor is eligible for re-appointment, subject to clause (11).

(11) A Member ceases to hold office as a Pro Chancellor:

  1. when his or her term expires under clause (8);
  2. when he or she resigns as a Pro Chancellor;
  3. when the office of that Member becomes vacant pursuant to clause 2 of Schedule 1 of the Act; or
  4. if that Member later becomes ineligible for appointment pursuant to clause (7) of this Rule.

Section 3 - Status and Functions

Status

(12) The office of Pro Chancellor is an honorary position of the Board and is primarily ceremonial in nature.

Functions

(13) The Chancellor or a Deputy Chancellor may authorise a Pro Chancellor to preside on his or her behalf at an official ceremony of the University, or to represent him or her at any other official function or ceremony, whenever he or she is unable to do so.

(14) Notwithstanding clause (13), and subject to the Act and the By-Law, the Board may, by resolution, confer such other functions or authority on a Pro Chancellor as it thinks fit.
